Welcome to EcoPallets Pro (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website located at ecopalletspro.com (the “Site”), as well as all products, services, and transactions conducted through or in connection with EcoPallets Pro.

By accessing the Site, submitting a quote request, placing an order, or otherwise engaging with our services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to these Terms.

If you do not agree with any part of these Terms, you must discontinue use of our Site and services immediately. We reserve the right to modify these Terms at any time. Continued use of our services following the posting of changes constitutes your acceptance of those changes.

EcoPallets Pro is a full-service pallet company specializing in the buying, selling, recycling, repair, and transportation of used and refurbished pallets. Our services include, but are not limited to:

• Pallet Sales: Supply of used, recycled, and refurbished wood pallets, plastic pallets, metal pallets, and related accessories in various grades, sizes, and specifications.
• Pallet Purchasing: Acquisition of surplus or unwanted pallets from businesses, warehouses, and distribution centers.
• Pallet Recycling: Environmentally responsible disassembly, sorting, and reclamation of pallet materials for reuse.
• Pallet Repair & Refurbishment: Structural repair, board replacement, and reconditioning to extend pallet lifespan.
• Transportation & Logistics: Pickup, delivery, and freight services for pallets across the continental United States.
• Pallet Management Programs: Ongoing inventory management, pallet flow optimization, and cost reduction consulting for enterprise clients.
• Custom Pallets: Design and fabrication of pallets to meet specialized dimensional, weight, or material requirements.

Service availability, scope, and geographic coverage are subject to change at our discretion. Specific terms for individual orders or service agreements may supplement these general Terms.

All orders placed with EcoPallets Pro are subject to acceptance and confirmation by us. Submitting a quote request or inquiry through our website does not constitute a binding order. A binding agreement is formed only when we issue a written order confirmation or invoice.

Pricing: All prices quoted are in U.S. dollars and are subject to change without prior notice until an order is formally confirmed. Prices may vary based on pallet type, grade, condition, quantity, delivery location, market conditions, and availability. Quoted prices are valid for the period stated on the quote (typically 7–14 business days) unless otherwise specified.

Minimum Orders: Certain products and services may be subject to minimum order quantities. Minimum requirements will be communicated at the time of quote or order confirmation.

Order Modifications: Requests to modify or cancel a confirmed order must be submitted in writing as soon as possible. We will make reasonable efforts to accommodate changes; however, orders that have already entered production, preparation, or transit may not be eligible for modification or cancellation. Cancellation fees may apply.

Accuracy: We make every effort to ensure the accuracy of product descriptions, images, and specifications on our Site. However, due to the nature of used and recycled pallets, minor variations in condition, color, and dimensions are inherent and do not constitute a defect or grounds for return.

Payment terms are established at the time of order confirmation and may vary depending on the nature and size of the transaction, customer credit history, and account standing.

Accepted Methods: We accept payment by check, ACH bank transfer, wire transfer, and major credit cards. Additional payment methods may be available for approved commercial accounts.

Net Terms: Approved commercial accounts may be eligible for Net 15 or Net 30 payment terms at our sole discretion. A credit application and approval process is required. We reserve the right to revoke or adjust credit terms at any time based on payment history or creditworthiness.

Prepayment: New customers and one-time purchasers may be required to pay in full prior to order fulfillment or delivery.

Late Payments: Invoices not paid within the agreed-upon terms are subject to a late fee of 1.5% per month (18% per annum) on the outstanding balance, or the maximum rate permitted by law, whichever is less. We reserve the right to suspend services, withhold future deliveries, and pursue collection remedies, including reasonable attorney's fees and court costs, for delinquent accounts.

Taxes: Prices do not include applicable sales tax, use tax, or other governmental charges unless explicitly stated. You are responsible for all such taxes unless you provide a valid exemption certificate prior to invoicing.

EcoPallets Pro offers delivery services across the continental United States. Shipping costs, methods, and estimated delivery timelines are provided at the time of quote and may vary based on order size, destination, and carrier availability.

Delivery Timelines: Estimated delivery dates are provided in good faith but are not guaranteed. Delays may occur due to weather, carrier schedules, supply constraints, or other circumstances beyond our reasonable control. EcoPallets Pro shall not be liable for damages or losses arising from delivery delays.

Title & Risk of Loss: Title to and risk of loss for products passes to the buyer upon delivery to the carrier (FOB Shipping Point), unless otherwise specified in writing. It is the buyer's responsibility to file claims with the carrier for any damage or loss occurring during transit.

Inspection Upon Delivery: Buyer must inspect all pallets upon delivery and note any visible damage or discrepancies on the bill of lading or delivery receipt at the time of delivery. Failure to note damage at the time of delivery may limit the buyer's ability to file claims.

Customer Pickup: Customers may arrange to pick up orders from our facility by appointment. EcoPallets Pro is not responsible for products once they leave our premises via customer pickup.

Due to the nature of used and recycled pallet products, returns are handled on a case-by-case basis. The following general policies apply:

Defective or Non-Conforming Products: If products received are materially defective or do not conform to the specifications outlined in the confirmed order, you must notify us in writing within five (5) business days of delivery. Include photographs and a detailed description of the issue. Upon verification, we will, at our option, replace the non-conforming products, issue a credit, or provide a refund for the affected items.

Non-Defective Returns: Returns of products that conform to order specifications are not accepted unless authorized in writing by EcoPallets Pro. If approved, a restocking fee of up to 25% of the order value may apply, and the buyer is responsible for all return shipping costs.

Refund Processing: Approved refunds will be processed within fifteen (15) business days of our receipt and inspection of returned products. Refunds will be issued via the original payment method or as a credit toward future orders, at our discretion.

Custom Orders: Pallets manufactured or modified to custom specifications are non-returnable and non-refundable unless they fail to meet the agreed-upon specifications.

EcoPallets Pro warrants that all products sold will be of the grade and specification described in the applicable order confirmation at the time of shipment.

Limited Warranty: Used and recycled pallets are sold “as-is” with respect to cosmetic condition, including but not limited to surface staining, weathering, ink markings, and minor cosmetic blemishes. These characteristics are inherent to used pallet products and are not covered under warranty.

Structural Warranty: For repaired and refurbished pallets, we provide a limited structural warranty for a period of thirty (30) days from delivery, covering defects in structural integrity directly attributable to our repair workmanship. This warranty does not cover damage resulting from misuse, overloading, improper storage, or normal wear and tear.

Disclaimer: EXCEPT AS EXPRESSLY STATED HEREIN, ECOPALLETS PRO MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT PRODUCTS WILL MEET YOUR SPECIFIC REQUIREMENTS BEYOND THE STATED SPECIFICATIONS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ECOPALLETS PRO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, OUR PRODUCTS, OR OUR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, ANY ORDER, OR ANY TRANSACTION EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO ECOPALLETS PRO FOR THE SPECIFIC PRODUCTS OR SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE DATE THE CLAIM AROSE.

The limitations set forth in this section shall apply regardless of whether the alleged breach or default is a breach of a fundamental condition or term, or a fundamental breach. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

All content on the EcoPallets Pro website, including but not limited to text, graphics, logos, icons, images, photographs, audio clips, digital downloads, data compilations, software, and the overall design and arrangement thereof, is the property of EcoPallets Pro or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

The EcoPallets Pro name, logo, taglines, and all related names, logos, product and service names, designs, and slogans are trademarks of EcoPallets Pro. You may not use these marks without our prior written permission.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal or internal business purposes only. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any content from our Site without our express written consent, except as incidental to normal web browsing (e.g., temporary caching).

These Terms and any disputes arising out of or related to these Terms, our products, or our services shall be governed by and construed in accordance with the laws of the State of Texas, without giving effect to any conflict of laws principles.

Jurisdiction: You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Harris County, Texas. You hereby consent to the personal jurisdiction and venue of such courts and waive any objection based on forum non conveniens.

Informal Resolution: Before initiating any formal legal action, both parties agree to attempt to resolve disputes informally by contacting us at info@ecopalletspro.com. We will endeavor to resolve complaints and disputes within thirty (30) business days of receipt.

Waiver of Class Actions: You agree that any disputes shall be resolved on an individual basis only and not as part of a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Severability: If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions shall continue in full force and effect.
